Please read these Terms of Sale (the “Terms of Sale”), our Terms of Use (Terms of Use) (the “Terms of Use”), and our Privacy Notice (Privacy Notice Link) (“Privacy Notice”) carefully because they govern your purchase of certain products offered for sale by Tone Outdoor Technologies LLC (“Tone”) on Tone’s website, located at: [https://toneoutdoors.com/] (the “Site”). To make these Terms of Sale easier to read, the air management products and related accessories as described on the Site offered for sale by Tone through the Site are referred to as the “Products.” These Terms of Sale govern your purchase of Products, regardless of how you purchase the Products, whether by computer, mobile device, or otherwise; and whether directly through our Site, or through any third-party website that links to them, and regardless of whether you are a registered user or a guest.
IMPORTANT NOTICE REGARDING ARBITRATION FOR CUSTOMERS: WHEN YOU AGREE TO THESE TERMS OF SALE, YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND TONE THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY SECTION 15 “DISPUTE RESOLUTION” BELOW FOR DETAILS REGARDING ARBITRATION.
1. Agreement to Terms. By purchasing or pre-ordering any Products, including reserving any product and paying a deposit, you agree to be bound by these Terms of Sale. If you don’t agree to be bound by these Terms of Sale, do not purchase or pre-order any Products.
2. Privacy Notice and Terms of Service. Please review our Privacy Notice and Terms of Use, both of which also govern activities related to your purchase or pre-order of the Products and your access to and use of the Site, for information on how we collect, use, and share your information and for the terms and conditions governing your use of the Site.
3. Supplementary Terms. Certain Products, services, promotions, or content that we offer may be subject to additional terms and conditions or other agreements (“Supplementary Terms”) specified by us from time to time. In the event of a conflict between the Supplementary Terms and any provision in these Terms of Sale, the Supplementary Terms will prevail.
4. Who May Purchase the Products?
(a) Eligibility. You may purchase the Products only if you are 18 years or older and capable of forming a binding contract with Tone, and not otherwise barred from purchasing the Products under applicable law.
(b) United States Sales. The Products may only be purchased for shipment to locations within the United States of America. You are responsible for providing complete and accurate delivery address information, which must include a valid street address. In the event a P.O. Box address is provided, Tone will not be required to fulfill the shipment and may, at its discretion: reject the order, request an alternative street address, or cancel the order without liability. Tone reserves the right to refuse, delay, or cancel any order designated a P.O. Box and shall bear no liability for any loss, damage, or additional costs associated with delivery attempts to a P.O. Box. By purchasing the Products, you represent and warrant that: (i) you will comply with all applicable laws (e.g., local, state, federal and other laws) when purchasing the Products; and (ii) you are purchasing the Products in the United States of America for your own personal or commercial use, and not for resale. You must not use any software or networking techniques, including any virtual private network (VPN) or similar technology, to modify your internet protocol address or otherwise circumvent or attempt to circumvent this prohibition or conceal your physical location. We reserve the right, but have no obligation, to monitor where you are purchasing the Products from. Furthermore, we reserve the right, at any time, in our sole discretion, to block access to your purchase of the Products, in whole or in part, from any geographic location, IP addresses, and unique device identifiers or to any user who we believe is in breach of these Terms of Sale.
5. Compliance. The Products are offered by Tone from its offices within the United States of America. Tone makes no representation that the Products are appropriate or available for sale in other locations, and you must not access or use Products from or in territories where the Products or their use is illegal or prohibited. You are always responsible for compliance with all applicable local laws.
6. Accounts. In order to purchase or pre-order certain Products, you will need an account. You must provide us with accurate, complete, and current account information and keep this information up to date. We reserve the right to suspend or terminate your account. To protect your account, keep the account details and password confidential, and notify us right away of any unauthorized use. You are responsible for all activities that occur under your account, including, without limitation, all Product pre-orders, orders, purchases and any other financial transactions, including payment of the purchase price or any deposits. It is your sole responsibility to protect your password from unauthorized use
7. Purchase Terms.
(a) Product Descriptions. We try to make the Site thorough, accurate, and helpful to our customers. Nonetheless, there may be times when certain information contained on the Site may be incorrect, incomplete, inaccurate, or appear inaccurate because of the browser, hardware, or other technology that you use. For example, we cannot guarantee that your computer monitor’s or other device’s display of any color will be accurate. We reserve the right to correct errors (whether by changing information on the Site or by informing you of the error and giving you an opportunity to cancel your order) or to update Product information at any time without notice. Subject to applicable law, all Product descriptions are subject to change at any time without notice, in our sole discretion. Any offer for any Product made via our Site is void where prohibited.
(b) Availability and Pricing. Tone reserves the right to change the prices and available Products at any time. Quantities of Products may be limited, and availability cannot always be guaranteed. We reserve the right to discontinue any Product at any time. Products offered for sale on this Site are for sale only in the United States and all prices are quoted in U.S. dollars.
(c) Purchasing Products. When we market the Products for sale on the Site, we are inviting you to make an offer to buy the Products shown on the Site. When you place an order by clicking or activating the appropriate button or hyperlink on the Site, you are making us a legally binding offer to buy the Product you have selected under these Terms of Sale. We accept your offer only when we have received approval by your chosen payment method provider and when we have shipped your Product or otherwise made it available to you. We have the right to refuse or limit any orders or quantities, extend the delivery timeline for any reason after the order has been placed and accepted, and/or refuse to ship a Product to you for any reason. We will not be liable if a Product is unavailable or if shipment is delayed. We reserve the right to provide substantially similar products to fulfill your order.
(d) Shipping. Available Products (excluding Pre-Ordered Products) will generally ship within five (5) days from Tone receiving approval and clearance by your chosen payment method provider, unless Tone otherwise provides you with notice of a later ship date. All shipment dates posted on the Site or provided to you in an order confirmation are estimates only. Products purchased on the Site will only be shipped to addresses within the United States of America and are subject to United States of America and foreign export control laws and regulations. Products must be purchased, sold, exported, re-exported, transferred, and used in compliance with these laws and regulations.
(e) Returns of Unused Products.. You may return an unused Product purchased via our Site in original packaging within thirty (30) days of delivery for a refund of the Product price charged by us and applicable taxes. Shipping and handling charges are non-refundable. You are responsible for return shipping costs unless the Product arrives damaged or defective. Contact support@toneoutdoors.com to obtain return instructions and a return authorization. Any Products purchased through any other channel cannot be returned or exchanged directly to or by Tone.
(f) Transfer of Title and Risk of Loss/Damage. Title to and the risk of loss and damage of all Products passes from us to you at the time we deliver the Products to the carrier for shipment. By purchasing Products on the Site for shipment, you are asking us to engage a common carrier to deliver your order. In doing so, we are providing a service to and acting on behalf of you. We reserve the right to choose any and all procedures, packaging, and the common carrier of sold Products. We may not be able to have your order shipped to a post office box, to certain addresses or on certain days. We reserve the right to ship your order in multiple boxes or shipments.
(g) Damaged or Incomplete Shipment. If you receive a damaged or incomplete shipment of Products, or if you are otherwise unhappy with any Product, please email us at [email address]. Any refunds or replacements are made solely in our discretion.
(h) Pre-Orders.
(i) We may offer an opportunity submit pre-orders for Products prior to production and general availability of that Product (“Pre-Ordered Product”). Pre-orders may be subject to payment of a deposit to be eligible to receive a Product from our initial batch of commercially released Products offered for pre-orders (“Deposit”).
(ii) A pre-order is not a purchase, and we are not obligated to sell or ship a Pre-Ordered Product to you until we have processed and received authorization to charge the balance of the purchase price (less the Deposit received) and applicable taxes and shipping and handling charges (“Final Payment”) upon commercial availability of the Pre-Ordered Product. When a Pre-Ordered Product becomes commercially available, we will process pre-orders for which a deposit was paid in the order in which the deposits were received. In the event that the price or material specifications or characteristics of a Pre-Ordered Product change before the Final Payment is processed, we will notify you. If you do not accept the updated price or changes, you may cancel your pre-order as provided in clause (iv) below.
(iii) Pre-orders are personal to you and may not be assigned or otherwise transferred without our express prior written consent.
(iv) If you pre-ordered a Product and change your mind, you have the option to cancel your pre-order at any time before the Final Payment is processed and request a refund of the Deposit you paid for such Pre-Ordered Product by completing the Refund Request Form located at https://toneoutdoors.typeform.com/refundrequest?typeform-source=toneoutdoors.com (the “Pre-Order Refund Request Form”). Once Tone has received and accepted your Pre-Order Refund Request Form, we will generally process the refund of your Deposit to your original payment method within ten (10) business days. Additional processing times by your credit card issuer, bank, or other payment method provider may vary. Upon cancellation you will no longer be eligible to receive a Product from our initial batch of commercially released Products. If you placed an order for a Pre-Ordered Product, and you do not cancel your pre-order by timely completing the Pre-Order Refund Request Form, then these Terms of Sale will apply to the purchase of the Pre-Ordered Product when it becomes available and we charge the Final Payment.
(v) We will notify you of the estimated Product release date of Pre-Ordered Products at the time of your pre-order. We will send you a notice of your expected shipping date no later than thirty (30) days before that date. We will charge the Final Payment to your chosen payment method thirty (30) days before the expected shipping date. We will provide you with notice of such charge at least seven (7) days before processing it. If we are unable to process your Final Payment using the chosen payment method on file, or if we cancel or postpone release of, or discontinue the Pre-Ordered Product, we may cancel your pre-order and refund the Deposit.
(vi) These Terms of Sale supersede all prior or contemporaneous agreements, communications and understandings, both written and oral, with respect to its subject matter, including without limitation T1 Leaf Blower Pre-Order Purchase Terms previously located at https://toneoutdoors.com/pages/pre-order-purchase-terms.
8. Ordering; Payment
(a) Transaction Authorization. When you make a purchase of or place a pre-order for one or more Products (each, a “Transaction”), you expressly authorize us (and our third-party payment processors and other service providers that we may select or change in our discretion) to charge you for such Transaction. We may ask you to supply additional information relevant to your Transaction, including your credit card number, the expiration date of your credit card, card verification codes, and your email, phone number, and postal addresses for billing and notification (such information, “Payment Information”). By providing us with your Payment Information, you agree that we (and our payment processors and other service providers) are authorized to charge your credit card or other payment method provided for all fees and charges due and payable to us hereunder and that no additional notice or consent is required. You represent and warrant that you have the legal right to use all payment method(s) represented by any such Payment Information. When you initiate a Transaction, you authorize us to provide your Payment Information to third parties (including third-party payment processors and service providers) so we can complete your Transaction and charge your payment method for the type of Transaction you have selected (plus any applicable taxes and any other charges that your bank or other financial service provider may levy on you). You may need to provide additional information to verify your identity before completing your Transaction (such information is included within the definition of Payment Information). By initiating a Transaction, you agree to the pricing, payment, and billing policies applicable to such fees and charges, as posted or otherwise communicated to you. All payments for Transactions are non-refundable and non-transferable except as expressly provided in these Terms of Sale. All fees and applicable taxes, if any, are payable in U.S. dollars.
(b) Payment. We accept the forms of payment stated on the Site and, for credit card payments, charge your credit card when your order or pre-order is processed. Your credit card issuer, bank, or other payment method provider may control when to release funds in the case of an order cancellation or refund. We reserve the right to use the Payment Information you provide us to provide better service to you should you wish to use our service again in the future and to protect us from fraud and other losses. Completion of a payment transaction is contingent upon: (i) your providing complete personal, account, transaction and any other information needed, (ii) authorization of the payment by your credit card issuer, bank, or other payment method provider, and (iii) acceptance and clearance of your payment.
(c) Cancellation. Except as expressly provided in these Terms of Sale, all orders are non-cancellable; we may grant or deny cancellation requests for individual orders in our sole and absolute discretion. We may also, in our sole discretion, cancel your payment at any time by providing notice to you through your contact information or by a notice when you attempt to make a payment. We may cancel a payment or prevent you from initiating future payments for any reason, including, without limitation, the following: (i) if you attempt to purchase a Product in breach of any applicable law or regulation, including the card network rules or regulations; (ii) if you purchase a Product in breach of these Terms of Sale; (iii) if your payment method is declined; (iv) if we suspect fraudulent, unlawful or improper activity regarding a payment; (iv) if we detect, in our sole discretion, that your payments have excessive disputes, high reversal rates or present a relatively high risk of losses; (v) failure to cooperate in an investigation or provide additional information when requested; or (vi) any other circumstances we deem appropriate in our sole discretion.
(d) Taxes. Stated prices do not include any customs duties, sales, use, value-added, excise, federal, state, local or other taxes. You are solely responsible for the payment of such taxes related to your purchase. We have the right to charge you for (and may add to the purchase price) any taxes that we believe we are required to pay or collect related to your purchase.
9. Tone’s Intellectual Property. We retain all right, title, and interest in and to all of our intellectual property. No right, title, interest, or license is granted to you, whether expressly, by implication, by way of estoppel, or otherwise.
10. Communications. As part of your purchase of the Products, you may (if enabled) receive push notifications, text messages, alerts, emails, or other types of messages directly sent to you outside or inside the Site (“Push Messages”). If you decide to enable such Push Messages, you agree to receipt of communications from Tone via the Push Messages. Please be aware that third party messaging or data fees may occur relating to these Push Messages depending on the plan you have with your wireless carrier.
11. Limited Warranty.
(a) Tone warrants that for (i) a period of three (3) years solely for personal, family, or household use of the Products; or (ii) a period of one (1) year for commercial or any other use of the Products (the “Warranty Period”) beginning on the date of purchase of the Product, each Product purchased via the Site will be free from material defects in material and workmanship under normal use in accordance with the applicable user manual, subject to the exclusions set forth below (“Limited Warranty”).
(b) The Limited Warranty does not cover any damage or failure resulting from (i) misuse, abuse, accidents, or alterations, (ii) normal wear and tear, (iii) use of non‑authorized service or parts, or (iv) use any accessories (including battery chargers) other than the original accessories delivered with the Product. Never use or charge a damaged battery, never disassemble a battery, and always follow the user manual and all safety instructions and warnings.
(c) During the Warranty Period, if a Product is not in conformance with the foregoing Limited Warranty, and Tone accepts your warranty claim that you send to Tone via email to [support@toneoutdoors.com], then, as your exclusive remedy and Tone’s entirely liability for any breach of the foregoing Limited Warranty, Tone will, at its sole discretion, either: (a) repair the Product; (b) replace the Product; or (c) provide a full or partial refund. Please contact Tone via email to [support@toneoutdoors.com] for return instructions.
(d) IF YOU ARE A CONSUMER AND USE THE PRODUCTS FOR YOUR PERSONAL, FAMILY, OR HOUSEHOLD PURPOSES (“CONSUMER”), TO THE EXTENT PERMITTED BY LAW, ANY IMPLIED WARRANTIES UNDER APPLICABLE LAW, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE LIMITED IN DURATION TO THE THREE-YEAR WARRANTY PERIOD SPECIFIED ABOVE. Some states do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to you. This Limited Warranty gives you specific legal rights, and you may also have other rights which vary from state to state.
(e) IF YOU ARE NOT A CONSUMER, EXCEPT AS EXPRESSLY SET FORTH HEREIN, AND WITHOUT LIMITING ANY RIGHT TO RETURN AS EXPRESSLY PROVIDED IN THESE TERMS OF SALE, TONE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND OR NATURE, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, TONE DOES NOT WARRANT THAT THE PRODUCTS WILL MEET YOUR REQUIREMENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
12. Indemnity. You agree to indemnify and hold harmless Tone, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns (“Indemnified Parties”) and, at Tone’s election, defend the Indemnified Parties from and against any claims or lawsuits, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to (a) your violation of these Terms of Sale, (b) your misuse of the Products (including any misuse, abuse, accidents, or alterations, any use of non‑authorized service or parts, or use of any accessories (including battery chargers) other than the original accessories delivered with the Product), or (c) your negligence.
13. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TONE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOST PROFITS, LOSS OF USE, LOSS OF DATA, OR LOSS OF GOODWILL, OR THE COSTS OF PROCURING SUBSTITUTE PRODUCTS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF SALE OR THE PURCHASE OR USE OF THE PRODUCTS, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER CAUSE OF ACTION OR THEORY OF LIABILITY. IN NO EVENT WILL TONE’S AND ITS AFFILIATES TOTAL CUMULATIVE LIABILITY UNDER OR ARISING OUT OF THESE TERMS OF SALE EXCEED THE AMOUNTS PAID BY YOU FOR THE PRODUCT. THE NATURE OF THE LIABILITY OR THE NUMBER OF CLAIMS OR SUITS SHALL NOT ENLARGE OR EXTEND THIS LIMIT. THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF WHETHER TONE OR ITS LICENSORS, IF ANY, HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER ANY REMEDY FAILS ITS ESSENTIAL PURPOSE. The exclusions and limitations of liability in these Terms of Sale form an essential basis of the bargain between the parties, and, absent any such exclusions or limitations of liability, the Terms of Sale, including the economic terms, would be substantially different. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
14. Governing Law and Forum Choice. These Terms of Sale and any action related thereto will be governed by the Federal Arbitration Act, federal arbitration law, and the laws of the State of Delaware without regard to its conflict of laws provisions. Except as otherwise expressly set forth in Section 15 “Dispute Resolution,” the exclusive jurisdiction for all Disputes (defined below) that you and Tone are not required to arbitrate will be the state and federal courts located in Cumberland County, TN , and you and Tone each waive any objection to jurisdiction and venue in such courts
15. Dispute Resolution.
(a) Mandatory Arbitration of Disputes. We each agree that any dispute, claim or controversy arising out of or relating to these Terms of Sale or the breach, termination, enforcement, interpretation or validity thereof or the ordering, shipment, delivery, and use of the Products (collectively, “Disputes”) will be resolved solely by binding, individual arbitration and not in a class, representative or consolidated action or proceeding. You and Tone agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of these Terms of Sale, and that you and Tone are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Terms of Sale.
(b) Exceptions. As limited exceptions to Section 15(a) above: (i) we both may seek to resolve a Dispute in small claims court if it qualifies; and (ii) we each retain the right to seek injunctive or other equitable relief from a court to prevent (or enjoin) the infringement or misappropriation of our intellectual property rights.
(c) Conducting Arbitration and Arbitration Rules. The arbitration will be conducted by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (the “AAA Rules”) then in effect, except as modified by these Terms of Sale. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879. A party who wishes to start arbitration must submit a written Demand for Arbitration to AAA and give notice to the other party as specified in the AAA Rules. The AAA provides a form Demand for Arbitration at www.adr.org.
Any arbitration hearings will take place in the county (or parish) where you live, unless we both agree to a different location. The parties agree that the arbitrator shall have exclusive authority to decide all issues relating to the interpretation, applicability, enforceability and scope of this arbitration agreement.
(d) Arbitration Costs. Payment of all filing, administration and arbitrator fees will be governed by the AAA Rules, and we won’t seek to recover the administration and arbitrator fees we are responsible for paying, unless the arbitrator finds your Dispute frivolous. If we prevail in arbitration we’ll pay all of our attorneys’ fees and costs and won’t seek to recover them from you. If you prevail in arbitration you will be entitled to an award of attorneys’ fees and expenses to the extent provided under applicable law.
(e) Injunctive and Declaratory Relief. Except as provided in Section 15(b) above, the arbitrator shall determine all issues of liability on the merits of any claim asserted by either party and may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. To the extent that you or we prevail on a claim and seek public injunctive relief (that is, injunctive relief that has the primary purpose and effect of prohibiting unlawful acts that threaten future injury to the public), the entitlement to and extent of such relief must be litigated in a civil court of competent jurisdiction and not in arbitration. The parties agree that litigation of any issues of public injunctive relief shall be stayed pending the outcome of the merits of any individual claims in arbitration.
(f) Class Action Waiver. YOU AND TONE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, if the parties’ Dispute is resolved through arbitration, the arbitrator may not consolidate another person’s claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this Dispute Resolution section shall be null and void.
(g) Severability. With the exception of any of the provisions in Section 15(f) of these Terms of Sale (“Class Action Waiver”), if an arbitrator or court of competent jurisdiction decides that any part of these Terms of Sale is invalid or unenforceable, the other parts of these Terms of Sale will still apply.
16. General.
(a) Assignment. You agree that you will not transfer or assign these Terms of Sale or your rights and obligations by any means or operation of law without Tone’s permission. These Terms of Sale do not create any third-party beneficiary rights.
(b) Notices. If Tone needs to contact you about one or more Products, you consent to receive notices by email and agree that electronic notice will satisfy any legal communication requirements. Please direct your legal notices or other correspondence to Tone Outdoors Inc., 199 Henry Street Crossville, TN 38555, United States of America, Attention: Legal.
(c) Feedback. You may, but don’t have to, provide to Tone any use information or suggestions, requests, or other feedback regarding the Products, including possible enhancements or modifications to the Products. For any feedback that you voluntarily provide, you hereby grant Tone and its affiliates a perpetual, non-exclusive, worldwide, irrevocable license to use, reproduce, modify, license, sublicense (through multiple tiers of sublicensees), and distribute (through multiple tiers of distributors) it without the payment of any royalties or fees to you. Tone will decide if and how to respond to feedback and if to incorporate feedback into the Products.
(d) Residence. By accepting these Terms of Sale, you confirm that you are not currently residing or ordinarily reside in any country or region currently embargoed by the United States of America, and that you are not otherwise prohibited (e.g., SDN, DPL) from interacting with a United States of America company.
(e) Entire Agreement; Waiver. These Terms of Sale, together with the Terms of Use, the Privacy Notice, and any other Tone policies referenced herein, constitute the entire agreement between you and Tone concerning the Products. If it turns out that any provision of these Terms of Sale is not unenforceable, such provision will be construed as limited to the extent necessary to be consistent with and fully enforceable under the law and the remaining provisions will remain in full force and effect. No waiver or failure to assert a right under these Terms of Sale shall be deemed a further or continuing waiver of such right or any other right. Unless otherwise specified, remedies are cumulative.
